These conditions apply only to business learning or advisory engagements where incorporated into an accepted order or engagement letter. They do not create an offer, subscription, automatic renewal or professional mandate merely by being displayed online. Consumer transactions follow the consumer-compatible Terms of Sale & Service.
The accepted engagement identifies the parties, scope, deliverables, fees, duration, permitted users and governing documents. Courses and programmes are coming soon and are not currently available for enrolment or purchase.
2. Deliverables and responsibilities
The order must list courses, learner seats, access period, books and their delivery arrangement, advisory hours, meetings, outputs and exclusions. It must allocate package components and state change-control and acceptance procedures. No service or Amazon redemption mechanism is implied.
The client supplies accurate, timely and lawfully shareable information and appoints a contact. Scope changes, delays caused by missing inputs and extra fees require a transparent agreed process; they do not permit arbitrary price increases.
Unless expressly agreed otherwise in the accepted order, course access is limited to 365 days from activation of the paid enrolment. No automatic renewal or extension is included. The agreed duration must match the technical configuration and must not retrospectively shorten access already sold.
3. Confidentiality, personal data and intellectual property
Each party protects the other’s confidential information, limits disclosure to the purpose and authorised recipients, and applies agreed security and return/retention procedures. Lawful disclosure requirements and independently known/public information must be addressed.
Where V4CP processes personal data on the client’s behalf, assess and execute any required data-processing agreement, instructions, subprocessors and transfer safeguards. Parties acting as separate controllers require appropriate allocation of responsibilities.
Specify ownership and permitted use of pre-existing materials and commissioned outputs. A course licence does not transfer copyright. Use of the client’s name, logo or testimonial requires appropriate permission.
4. Professional scope, responsibility and indemnities
Books, examples, videos and general courses are educational information, not personalised investment, legal or tax advice. Users are responsible for assessing relevance to their circumstances and obtaining qualified advice when needed. No financial, commercial, credit, employment or examination outcome is warranted.
To the fullest extent permitted by applicable law, V4CP’s aggregate liability arising from or connected with the relevant product or service, under any legal basis, shall not exceed the price actually paid to V4CP for that product or service. The cap applies in aggregate to claims concerning that product or service, not separately to each claim. For a combined package, the relevant price is the price paid for the affected package, unless a separate component price was clearly agreed before purchase.
For business customers, to the fullest extent permitted by law, liability for lost profit, lost business opportunities and business interruption is excluded. No additional voluntary warranty, money-back guarantee or discretionary remedy is granted unless expressly included in the accepted offer.
These limitations do not apply to fraud, wilful misconduct, gross negligence, breach of public-order obligations or liability that cannot lawfully be excluded or limited. They do not reduce non-waivable consumer remedies, statutory refunds or non-excludable data-protection rights. Mandatory consumer protections remain unaffected.
Any client indemnity must be limited to third-party claims caused by the client’s unlawful acts, unauthorised disclosure or infringement, excluding V4CP’s own fault, and specify notice and defence procedures.
5. Fees, term, termination and disputes
Fees, taxes, payment milestones, expenses, dates, session booking and cancellation arrangements are those expressly accepted in the engagement. No recurring subscription or automatic renewal is created unless separately and expressly agreed.
Each party may invoke termination rights stated in the engagement or required by law. Suspension for breach or security concerns must be proportionate; notice and an opportunity to remedy are provided where appropriate. Termination does not justify automatic forfeiture of all prepaid fees regardless of performance or applicable law.
Italian law governs where validly agreed. The courts of Milan, Italy, have exclusive jurisdiction for business engagements, subject to mandatory law, valid incorporation and any required specific approval. This clause does not impose Milan jurisdiction on consumers.
Specific scope and commercial terms in the accepted engagement prevail over these general conditions to the extent of an express, lawful inconsistency. Mandatory law remains unaffected.
